Depending on the engagement, our services may include creative production, digital communication, content development, campaign-related services, technology-enabled customer communication, business messaging, WhatsApp Business Platform integration, RCS messaging, and associated support or consulting services.The exact scope of services provided to a particular customer may be determined by a quotation, proposal, order form, statement of work, invoice, subscription plan, service agreement, email confirmation, or other written communication issued or accepted by Illustrex.Where any specific commercial agreement conflicts with these Terms, the specific written agreement shall prevail only to the extent of the conflict.Our WhatsApp and RCS-related services may depend on third-party platforms, application programming interfaces (“APIs”), telecom operators, cloud infrastructure, technology providers, aggregators, or communication networks. Accordingly, certain functionality may be subject to third-party terms and policies.
2. DefinitionsFor these Terms:“Account” means an account, profile, dashboard, login, business profile, or other access credential created for using an Illustrex service.“Business Customer” means an organisation, company, proprietor, partnership, professional, or other entity obtaining services from Illustrex.“Communication Services” means messaging and communication solutions provided through WhatsApp, RCS, SMS, APIs, email, web interfaces, or other supported channels.“Content” means text, images, graphics, videos, audio, documents, logos, trademarks, data, templates, campaign materials, and other information submitted, transmitted, generated, or displayed through the services.“Customer Data” means information supplied by a customer to Illustrex for providing services.“End User” means a person who receives, sends, or interacts with a communication from a customer through an applicable communication channel.“Subscription” means a recurring or fixed-term service plan purchased by a customer.“Third-Party Services” means services supplied by Meta, WhatsApp, Google, telecom operators, cloud providers, payment processors, hosting providers, or other external service providers.
3. Acceptance of TermsBy using our website or services, you confirm that:You have authority to enter into these Terms;Information provided by you is accurate and not misleading;You will use the services only for lawful purposes;You will comply with applicable Indian laws and regulations;You will comply with the policies of third-party platforms used with our services; andYou will not use our services in a manner that may harm Illustrex, another user, a communication network, or an End User.Where a customer is an organisation, the individual accepting these Terms represents that they have appropriate authority to bind that organisation.
4. Description of ServicesIllustrex may provide creative production, digital communication, messaging integration, campaign support, technical configuration, content-related services, business communication solutions, and associated professional services.The availability, features, pricing, technical requirements, message limits, communication channels, delivery capabilities, and support levels may vary according to the selected service plan.Third-party communication platforms may impose their own approval procedures, template requirements, account restrictions, quality requirements, message limits, or other technical conditions.Illustrex does not guarantee that a particular third-party platform will approve every business profile, template, sender identity, campaign, message, or use case.
5. EligibilityYou must have the legal capacity and authority required under applicable law to enter into these Terms.Businesses must provide genuine business information when requested for verification or platform registration.You must not use Illustrex services for unlawful activities, fraud, impersonation, phishing, harassment, malicious software, unauthorised surveillance, or any activity prohibited by applicable law or the policies of the relevant communication provider.
6. Account RegistrationCertain services may require an account or business profile.You are responsible for ensuring that account information remains accurate and current. You must protect usernames, passwords, API credentials, authentication codes, access tokens, and other security credentials.You must immediately notify Illustrex if you believe your account has been compromised or accessed without authorisation.You are responsible for activity performed through your account unless you can demonstrate that such activity occurred without your authorisation and despite reasonable security measures.Illustrex may require identity, business, domain, phone-number, ownership, or other verification information before activating or continuing certain services.
7. User ResponsibilitiesYou agree to use the services responsibly and lawfully.You must obtain all permissions, licences, consents, and authorisations required for content, customer information, phone numbers, contact lists, trademarks, images, videos, music, software, and other materials supplied to Illustrex.You must not upload or distribute content that is unlawful, defamatory, fraudulent, deceptive, threatening, discriminatory, sexually exploitative, harmful, or infringing.You must not use purchased, scraped, harvested, or unlawfully obtained telephone numbers or contact lists for messaging campaigns.You must maintain appropriate records demonstrating that recipients have consented to receive communications where such consent is required.
8. Payment & Billing TermsServices may be supplied against a quotation, invoice, purchase order, subscription plan, advance payment, milestone payment, or other agreed commercial arrangement.Unless otherwise stated in writing, applicable taxes, including GST where applicable, may be charged in addition to service fees.Third-party platform fees, messaging charges, telecom charges, API charges, template charges, conversation charges, hosting charges, payment gateway charges, or other external costs may be payable separately or incorporated into the applicable invoice.Customers are responsible for paying invoices within the agreed payment period.Failure to make payment may result in suspension or termination of the relevant service.Unless expressly agreed otherwise, payments for services already delivered, third-party charges already incurred, approved work, or completed production activities may not be refundable.
9. Subscription Renewal & TerminationWhere a service is provided on a subscription basis, the subscription may renew according to the agreed billing cycle unless cancelled in accordance with the applicable subscription terms.Illustrex may suspend or terminate services for non-payment, material breach, unlawful activity, security risks, misuse, fraudulent conduct, violation of third-party policies, or other circumstances permitted by law.A customer may request cancellation by contacting Illustrex using the contact details provided on this page or through the applicable account mechanism.Termination does not automatically extinguish payment obligations accrued before termination.Following termination, Illustrex may retain limited records where required for legal, accounting, security, dispute-resolution, fraud-prevention, or regulatory purposes.
10. Use of WhatsApp Official API & RCSWhere Illustrex provides or facilitates WhatsApp Business Platform, WhatsApp Cloud API, RCS for Business, or similar communication functionality, the customer acknowledges that such services rely on independent third-party platforms.For WhatsApp Business communications, customers must comply with applicable WhatsApp Business terms, messaging policies, business policies, technical requirements, template requirements, and applicable laws.Meta’s current WhatsApp Business policy requires businesses to obtain appropriate opt-in permission before initiating communications, accurately identify the business, respect requests to stop or block communications, and avoid misleading, spammy, or unauthorised messaging. Business-initiated WhatsApp conversations may also require approved message templates, subject to the applicable platform rules.For RCS for Business, customers must comply with applicable Google terms and acceptable-use requirements. Google requires accurate business information, appropriate user notice and consent, opt-out handling, and compliance with restrictions concerning deceptive practices, spam, prohibited content, and other misuse.Illustrex may refuse to configure, submit, transmit, or continue a messaging campaign where we reasonably believe that it violates applicable law or a third-party platform policy.
11. Message Delivery & Compliance PolicyIllustrex facilitates communication technology but cannot guarantee delivery of every message.Delivery may be affected by recipient device status, network availability, telecom operator policies, spam filters, platform restrictions, user blocking, invalid numbers, template rejection, account quality, technical outages, carrier restrictions, or other circumstances outside our reasonable control.Customers must send only messages that are relevant to the recipient and consistent with the consent obtained.Promotional communications should not be sent to individuals who have not provided the required permission.Customers must provide a clear and practical mechanism for recipients to stop receiving communications.For WhatsApp, customers must respect applicable opt-out, block, and communication-window requirements. For RCS, customers must promptly honour opt-out requests and maintain appropriate consent records. Google specifically requires businesses using RCS for Business to process user opt-out requests promptly.Customers must not attempt to circumvent platform restrictions by creating duplicate accounts, rotating numbers, disguising content, manipulating templates, or otherwise attempting to evade enforcement mechanisms.Illustrex may suspend campaigns where recipient complaints, blocking, spam reports, platform warnings, or other signals indicate potential misuse.
12. Intellectual Property RightsUnless otherwise agreed in writing, Illustrex retains ownership of its pre-existing intellectual property, proprietary systems, templates, workflows, software, designs, processes, know-how, documentation, and technology.Customer-owned trademarks, logos, materials, and content remain the property of the customer or its respective owner.Where a customer commissions original creative work, ownership or usage rights shall be determined by the relevant quotation, contract, invoice, or written agreement.The customer grants Illustrex a limited licence to use customer-provided materials solely to perform the contracted services.The customer represents that it has the necessary rights to provide such materials.
13. ConfidentialityEach party shall use reasonable measures to protect confidential information received from the other party.Confidential information may include business information, customer information, technical information, pricing, campaign information, credentials, strategies, designs, unpublished materials, and other information reasonably understood to be confidential.Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, lawfully obtained from another source, or required to be disclosed under applicable law.
14. Disclaimer of WarrantiesThe services are provided subject to their applicable specifications and availability.To the maximum extent permitted by law, Illustrex does not warrant that services will always be uninterrupted, error-free, completely secure, or continuously available.Illustrex does not control independent third-party platforms and therefore does not guarantee their availability, approvals, delivery performance, pricing, policies, or continued functionality.No statement by Illustrex shall be interpreted as a guarantee of approval by Meta, WhatsApp, Google, telecom operators, or any other third party.
15. Limitation of LiabilityTo the maximum extent permitted by applicable law, Illustrex shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive losses arising from use of the services.This may include loss of profits, business opportunities, goodwill, anticipated savings, data, or revenue.Illustrex shall not be responsible for failures attributable to third-party platforms, telecommunications networks, internet service providers, cloud infrastructure, customer systems, recipient devices, or circumstances beyond its reasonable control.Nothing in these Terms excludes liability that cannot legally be excluded under applicable Indian law.
16. IndemnificationYou agree to indemnify and hold harmless Illustrex, its directors, officers, employees, contractors, and service providers against claims, losses, liabilities, penalties, damages, costs, and reasonable legal expenses arising from:Your unlawful use of the services;Your breach of these Terms;Your violation of third-party platform policies;Your failure to obtain required consent;Your infringement of intellectual property or privacy rights;Content supplied by you; orFraudulent, misleading, or unauthorised communications sent through your account.
17. Governing Law (India)These Terms shall be governed by and interpreted in accordance with the laws of India.Subject to applicable law, disputes shall be subject to the jurisdiction of the competent courts having jurisdiction over Mumbai, Maharashtra.Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a competent court where appropriate.
18. Changes to TermsIllustrex may update these Terms from time to time to reflect changes in services, technology, applicable law, regulatory requirements, security practices, or third-party platform policies.Updated Terms may be published on the website with a revised “Last Updated” date.Where changes materially affect an existing contractual relationship and applicable law requires notice, Illustrex will provide such notice through an appropriate communication method.Continued use of the services after an applicable update may constitute acceptance of the revised Terms to the extent permitted by law.
